The following document is an unofficial copy of the club's bylaws.  Minor formatting and punctuation changes have performed, along with textual alterations to remove gender references, without changing the intent of the bylaws.  (The original text is red; modified text is enclosed in [brackets].  Official copies of this document are available from the club secretary.

 

BYLAWS
of the
STARLIGHT ASTRONOMY CLUB

 

ARTICLE I: Meetings

Section I

Regular meetings of the Starlight Astronomy Club (hereinafter the Club) shall be held bimonthly, or at such other times as the President shall designate. It shall be the duty of the secretary to notify all members of the date.

Section II

The nominations of Officers shall take place at the regular meeting prior to the Annual Meeting.

Section III

The meeting held in the month of November/December shall be the Annual Meeting for the election and installation of officers and the reading of annual reports.

Section IV

A special meeting may be called at any time at the direction of the President, the Executive Committee, or upon the written request of at least five (5) members, who shall state the reason or explain the reasons therefore. Thereupon, it shall be the duty of the secretary to notify members of the meeting.

 

ARTICLE II: Dues

Section I

All dues are renewable on a yearly basis in January.

Section II

Any member whose dues are not paid by March 31 shall be considered delinquent. Any member who is delinquent for one year or less may be reinstated by paying his/her current dues.

Section III

The membership and privileges of any member who is delinquent in payment of dues as of 1 July shall be automatically terminated. A member may be reinstated by prompt payment of the annual dues with no proration.

Section IV

Dues may be changed through amendment of these Bylaws only. Dues for each class of member shall be as follows:

(a) Regular Member - $12 per year.

(b) Family Member - $18 per year.
        (entitled to one vote)

(c) Student Member - $5 per year.
        (under 18, nonvoting)

In addition, the following classes of Celestial Membership exist to support the Club:

(a) Type 0 Star - $100 per year.

(b) Type B Star - $50 per year.

(c) Type A Star - $25 per year.

 

ARTICLE III: Members

Section I

Members shall be those individuals whose dues to the Starlight Astronomy Club are current.

Section II

Members shall consist of the following classes:

(a) Regular Members - a person whose regular dues are paid to the current date in accordance with the dues schedule set forth in these Bylaws.

(b) Family Member - members of the immediate family (father, mother, children), whose dues are paid to the current date in accordance with the dues schedule set forth in these Bylaws.

(c) Student Member - an individual enrolled as a full-time student in any elementary or high school, 18 years of age or under, whose dues are paid in accordance with the dues schedule set forth in these Bylaws. Student members are nonvoting members.

(d) Honorary Member - an individual who has in some way made an outstanding contribution to this organization.

(1) Honorary members shall be elected by a two-thirds vote of members present at an Annual Meeting.

(2) Notice of intent to elect honorary members shall be given at a regular meeting prior to the Annual Meeting.

(3) Honorary members will not be required to pay dues. The honor will extend for the life of the individual.

 

ARTICLE IV: Officers

Section I

The officers of the Starlight Astronomy Club shall be a President, Vice-President, Secretary, and Treasurer.

Section II

(a) All officers shall be chosen by the membership from among those persons who constitute members in good standing.

(b) An individual may hold no more than one office at a time, with the exception of the offices of Secretary and Treasurer, which may be combined.

Section III

Vacancies occurring between elections shall be filled by special election at the regular meeting following the meeting in which the resignation or withdrawal is announced. Duties of the office meanwhile reside with the President or [an] his interim appointee. Any person selected to fill such a vacancy shall serve for the unexpired term.

Section IV

President. It shall be the duty of the President to preside over all meetings of the Club and of the Executive Committee. He [The President] shall be chairman of the Executive Committee, and shall be an ex-officio member of all committees. The President shall call extra business meetings if required, temporarily fill vacancies, and appoint committees not otherwise provided for. The President shall perform all other duties normally required by the office.

Section V

Vice-President. It shall be the duty of the Vice-President to perform all the functions of the President in his absence, and in such cases shall exercise all powers conferred upon him. He [The Vice-President] shall also carry out such additional functions as may be delegated to him by the Executive Committee or the President (such as coordinating committee activities, heading educational activities, etc.).

Section VI

Secretary. It shall be the duty of the Secretary to keep a written record of the proceedings of the Club, and of the Executive Committee, and to read the minutes thereof at each meeting. The Secretary shall give notice of meetings as required, shall attend to the Club's correspondence, and shall perform the duties usual and incident to the office and other such duties as may be assigned from time to time by the Executive Committee or the President.

Section VII

Treasurer. It shall be the duty of the Treasurer to receive all dues and other moneys owed the Club, and to have general charge and supervision of the books and records of account of the Club, subject to the direction of the Executive Committee. The Treasurer shall maintain an up-to-date roster of members, shall make a financial report at each meeting (or if unable to attend, shall give the report to another officer for submission), shall exercise the usual powers and duties of Treasurer, including the power to issue receipts, and the power to disburse funds in accordance with procedures to be established by the Executive Committee, and shall perform such additional duties as may be assigned by the Executive Committee or the President.

Section VIII

The duties of Secretary and Treasurer may be combined in one office.

 

ARTICLE V: Elections

Section I

Nominations for offices shall be made by the Nominating Committee, who shall nominate, for consideration by the members at the Annual Meeting, at least one person for the positions of President, Vice-President, Secretary, and Treasurer (or Secretary-Treasurer). Nominations for all such offices may also be made from the floor.

Section II

All officers shall be chosen from among those persons who are members in good standing.

Section III

The officers shall serve for one (1) full year. Should any office become vacant, it may be filled as per the procedures set forth in Article IV, Section III of the Bylaws.

Section IV

Method of voting shall be by secret ballot during election at the Annual Meeting.

Section V

The newly-elected officers and directors shall assume their duties at the next regular meeting immediately following their election and installation at the Annual Meeting, and shall serve until their successors have been installed.

Section VI

An election shall be conducted upon adoption of the Bylaws. These officers shall serve on an interim basis until the subsequent regular election at the Annual Meeting.

 

ARTICLE VI: Committees

Section I

The Executive Committee shall meet as per the schedule, and on any day, designated by the President. The Executive Committee may be called into special meeting by the President or on the written request of three (3) or more officers.

Section II

The President shall appoint a Nominating Committee of at least three members, which shall nominate one or more eligible candidates for each office, and shall report thereon at the meeting prior to the Annual Meeting.

Section III

Special committees and their chairperson[s] shall be created by the President with approval of the Executive Committee.

 

ARTICLE VII: Conduct of Business and Amendments

Section I

A quorum of the Club shall consist of four (4) members present, at least two (2) of whom shall be officers of the Club.

Section II

The Bylaws of the Club may be amended at any regular meeting by a 2/3 vote of the membership.
